Limitation of Liability

1. Overview

This Limitation of Liability statement governs the extent to which Helix BioMedical, operating as a faith-based healthcare organization under Section 508(c)(1)(a) of the Internal Revenue Code and incorporated under Wyoming law, accepts legal responsibility for claims, losses, or damages arising from or related to its services, programs, platforms, and operations. By accessing our facilities, enrolling in our educational programs, receiving patient care, participating in student research, or otherwise engaging with Helix BioMedical in any capacity, you acknowledge that you have read, understood, and agree to the terms set forth in this document.

Helix BioMedical provides mobile medical services in the Las Vegas, Nevada metropolitan area, non-accredited educational programs in CRISPR/Cas9 gene editing and synthetic biology, patient diagnostic and telehealth services, and GPU-accelerated protein engineering research pipelines for enrolled students and research participants. Each of these service categories carries inherent risks, limitations, and constraints that are described in detail below. Nothing in this Limitation of Liability statement is intended to waive or limit protections afforded by applicable federal or Nevada state law where such limitations are prohibited.

As a 508(c)(1)(a) faith-based organization, Helix BioMedical operates under the premise that healing encompasses the whole person -- body, mind, and spirit -- and that services are provided in a spirit of service to the community. This faith-based mission does not alter, negate, or diminish the legal limitations described herein, nor does it create any implied warranty or guarantee of results beyond what is expressly stated in individual service agreements.

2. Healthcare Services Limitations

Helix BioMedical provides mobile medical services including but not limited to primary diagnostics, bioresonance therapy assessment, point-of-care testing, telehealth consultations, wellness screenings, and community health education. These services are provided by licensed and certified healthcare professionals operating within the scope of their individual licensure under Nevada and applicable federal law. However, the nature of mobile healthcare delivery introduces inherent constraints that patients and participants must understand before engaging with our services.

Mobile medical services are delivered in non-hospital, non-clinic settings, which means the full range of diagnostic imaging, laboratory infrastructure, specialist consultation, and emergency response capabilities available at a traditional healthcare facility may not be immediately accessible. Helix BioMedical makes no representation that its mobile services constitute a complete substitute for care received at a licensed hospital, urgent care center, or specialist medical practice. Patients requiring emergency care, complex diagnostic workups, surgical intervention, or ongoing disease management involving controlled substances are strongly advised to seek care at a fully equipped medical facility.

Bioresonance and frequency-based assessment technologies used by Helix BioMedical are provided as complementary wellness tools and do not constitute diagnosis, treatment, cure, or prevention of any disease or medical condition as defined by the U.S. Food and Drug Administration. Results from bioresonance assessments are informational in nature and are intended to support, not replace, clinical judgment by qualified healthcare professionals. Helix BioMedical shall not be liable for any health decisions made by patients or their caregivers based solely on bioresonance output without independent verification by a licensed medical professional.

Telehealth consultations are subject to the limitations inherent in remote care delivery, including but not limited to: inability to perform physical examination, dependence on patient- reported symptoms and history, potential for technological disruptions affecting communication quality, and jurisdiction-specific scope-of-practice constraints. Telehealth providers affiliated with Helix BioMedical are licensed in specific states, and patients are responsible for ensuring that receiving telehealth services from their location is lawful under applicable state law. Helix BioMedical shall not be liable for delays, errors, or adverse outcomes attributable to the inherent limitations of telehealth technology or cross-state licensure complications.

3. No Guarantee of Outcomes

Helix BioMedical expressly disclaims any guarantee, warranty, or representation regarding the outcome of any medical service, diagnostic procedure, therapeutic intervention, educational program, or research activity provided or facilitated by the organization. Healthcare outcomes are inherently variable and depend on numerous factors outside the control of Helix BioMedical, including patient biology, adherence to care recommendations, pre-existing conditions, comorbidities, lifestyle factors, and the current state of medical science.

No statement made by any employee, volunteer, contractor, or representative of Helix BioMedical -- whether oral or written -- shall be construed as a guarantee of any specific health outcome, symptom improvement, disease resolution, or other medical result. Testimonials and case studies shared in connection with Helix BioMedical's programs reflect individual experiences and are not representative of outcomes that any particular patient should expect.

With respect to educational and research programs, Helix BioMedical does not guarantee that participation will result in career advancement, employment, academic credit recognition at other institutions, publication of research findings, or the successful application of skills in any professional or academic context. Students and research participants accept enrollment understanding that outcomes depend significantly on individual effort, aptitude, and circumstances beyond the organization's control.

Diagnostic results, including but not limited to point-of-care laboratory values, imaging interpretation, bioresonance assessments, and telehealth clinical impressions, are provided for informational purposes within the clinical context in which they are generated. Helix BioMedical does not warrant that any diagnostic result is complete, definitive, or free from the inherent limitations of the testing methodology employed. Patients are encouraged to confirm material diagnostic findings with their primary care provider or an appropriate specialist.

4. Educational Program Disclaimers

Helix BioMedical's educational programs in CRISPR/Cas9 gene editing, synthetic biology, protein engineering, and related life sciences disciplines are offered as non-accredited instructional experiences. These programs are not affiliated with, endorsed by, or accredited by any regional or national accrediting body recognized by the U.S. Department of Education, the Accreditation Commission for Education in Nursing, the Liaison Committee on Medical Education, or any other official accreditation authority. Students are responsible for independently verifying whether program participation satisfies requirements for any external purpose, including but not limited to professional licensure, graduate school admission, or employer education requirements.

Course content, curriculum, laboratory protocols, and instructional materials are developed in good faith by Helix BioMedical personnel and affiliated researchers to reflect current knowledge and best practices in the relevant fields. However, the life sciences are rapidly evolving disciplines. Helix BioMedical does not warrant that all course content is current, complete, or free from error at any given time, and the organization reserves the right to modify curriculum, discontinue specific modules, update protocols, and change instructional formats without prior notice.

Laboratory work involving biological materials, gene editing reagents, viral vectors, recombinant DNA, and computational protein modeling carries inherent risks. Students participating in hands-on laboratory components acknowledge that laboratory environments involve physical hazards -- including chemical exposure, sharps injuries, biological material handling, and equipment operation -- and that the organization's liability for injuries sustained during laboratory activities is limited as described in Section 9 of this document. Students are required to complete all mandatory safety training before entering laboratory spaces and are solely responsible for compliance with all posted safety protocols.

Helix BioMedical does not accept liability for decisions made by students or research participants in applying knowledge, techniques, or protocols learned through its programs outside of organization-supervised contexts. Application of gene editing, synthetic biology, or molecular biology techniques outside of a licensed laboratory setting may violate federal, state, and local laws. Students who apply knowledge obtained through Helix BioMedical programs in unauthorized contexts do so entirely at their own risk and without any endorsement, authorization, or liability assumption by the organization.

5. Technology and API Availability

Helix BioMedical operates a GPU-accelerated protein engineering research pipeline that incorporates third-party computational tools, machine learning models, and cloud-based infrastructure. These include but are not limited to AlphaFold structure prediction services, ESM-2 protein language models, OpenCRISPR generative design tools, BoltzGen biomolecular simulation frameworks, PyTorch-based neural network inference, and various bioinformatics database APIs. The availability, accuracy, and performance of these tools depend on factors outside the direct control of Helix BioMedical.

Helix BioMedical makes no warranty that the research pipeline, its component APIs, database services, or computational infrastructure will be available at any particular time, operate without interruption, or produce results free from computational error. Planned and unplanned maintenance, third-party API deprecation, service outages, database downtime, hardware failures, network disruptions, and model version changes may affect the availability and accuracy of pipeline outputs at any time and without advance notice.

Research outputs generated by the computational pipeline, including predicted protein structures, guide RNA design recommendations, binding affinity predictions, off-target analysis, and genomic annotation results, are provided as research tools and informational aids. These outputs are not validated clinical products. Helix BioMedical expressly disclaims liability for any research decisions, experimental designs, publications, or downstream applications based on computational pipeline outputs. Users of the research pipeline are responsible for independently validating computationally generated findings through appropriate experimental methods before relying on them for any consequential purpose.

Access to the research pipeline may be suspended, throttled, or permanently discontinued due to funding constraints, licensing changes, regulatory requirements, or organizational decisions. Helix BioMedical will make reasonable efforts to provide advance notice of material service changes but does not guarantee any minimum period of advance notice, and the organization shall not be liable for losses -- including lost research progress, data, or time investment -- resulting from platform availability changes.

6. Third-Party Service Disclaimers

Helix BioMedical engages third-party vendors, contractors, and service providers to deliver components of its medical, educational, and research programs. These third parties include but are not limited to laboratory reference services, medical supply vendors, cloud computing and storage providers, software-as-a-service platforms, pharmaceutical suppliers, equipment manufacturers, and independent contractor healthcare professionals. While Helix BioMedical exercises reasonable diligence in the selection and oversight of third-party partners, the organization is not responsible for the acts, omissions, errors, negligence, or misconduct of independent third parties.

Telehealth platforms, electronic health record systems, patient communication applications, and billing software used in connection with Helix BioMedical services may be operated by third-party vendors subject to their own terms of service, privacy policies, and security standards. Helix BioMedical does not warrant the security, reliability, or regulatory compliance of third-party software platforms and shall not be liable for data breaches, service outages, or adverse events attributable to third-party platform failures, provided that the organization has taken reasonable steps to implement the security controls within its own administrative authority.

Links to third-party websites, publications, databases, and resources provided through Helix BioMedical's website, educational materials, or research tools are provided for informational convenience only. Such links do not constitute an endorsement of the linked content, organization, or service. Helix BioMedical exercises no control over third-party content and accepts no liability for information, products, or services obtained from or through linked third-party resources.

Patients and students who choose to independently engage with third-party services, platforms, or providers based on information obtained through Helix BioMedical do so at their own risk. Any agreements, transactions, or relationships formed between patients or students and third-party vendors are solely between those parties, and Helix BioMedical is not a party to and accepts no liability for such arrangements.

7. Force Majeure

Helix BioMedical shall not be held liable for any failure, delay, or disruption in the provision of services -- including medical services, educational programming, patient care, or research pipeline operations -- that results directly or indirectly from causes beyond the organization's reasonable control. Such causes include but are not limited to: acts of God; natural disasters including earthquakes, floods, wildfires, and extreme weather events; pandemic, epidemic, or public health emergency declarations by federal, state, or local authorities; acts of war, terrorism, civil unrest, or government-imposed emergency measures; widespread power grid failures; internet infrastructure disruptions; regulatory orders requiring suspension of operations; and labor shortages or supply chain disruptions affecting critical medical supplies or technology.

In the event of a force majeure condition, Helix BioMedical will use commercially reasonable efforts to notify affected patients, students, and research participants and to resume operations as expeditiously as possible. However, the organization makes no guarantee regarding the timeline of service restoration, and force majeure events excuse Helix BioMedical from performance obligations under any service agreement, enrollment contract, or research participation agreement for the duration of the impairment.

Fees paid for services that cannot be delivered due to a force majeure event will be addressed on a case-by-case basis in accordance with Helix BioMedical's refund and service credit policies in effect at the time of the disruption. The organization's obligation in a force majeure scenario is limited to reasonable accommodation efforts and does not extend to consequential or indirect damages arising from service interruption.

8. Indemnification

By engaging with Helix BioMedical's services, programs, or platforms in any capacity, you agree to indemnify, defend, and hold harmless Helix BioMedical, its officers, directors, employees, volunteers, contractors, affiliates, and agents from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and expenses -- including reasonable attorneys' fees -- arising out of or related to: (a) your access to or use of Helix BioMedical's services, programs, or platforms; (b) your violation of any provision of these terms or any applicable law, regulation, or professional standard; (c) your misrepresentation of any fact or information provided to Helix BioMedical; (d) your unauthorized application of knowledge, techniques, or materials obtained through Helix BioMedical's programs outside of supervised contexts; or (e) claims brought by third parties resulting from your conduct in connection with Helix BioMedical services.

This indemnification obligation survives the termination of any service relationship, enrollment, or research participation agreement between you and Helix BioMedical. The organization reserves the right to assume exclusive control of the defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defense and to not settle any claim without Helix BioMedical's prior written consent.

Patients who provide incomplete, inaccurate, or misleading medical history information agree to indemnify Helix BioMedical against claims arising from clinical decisions made in reliance on that information. Students who engage in unauthorized activities using biological materials, equipment, or computational tools indemnify the organization against all regulatory, civil, and reputational consequences of such activities.

9. Maximum Liability Caps

To the maximum extent permitted by applicable law, Helix BioMedical's total aggregate liability to any individual patient, student, research participant, or other party for all claims arising out of or related to services received, programs attended, or platforms used shall not exceed the greater of: (a) the total amount of fees actually paid by that individual directly to Helix BioMedical for the specific service or program giving rise to the claim, calculated over the twelve-month period immediately preceding the event giving rise to the claim; or (b) five hundred U.S. dollars ($500.00).

This liability cap applies collectively to all claims, regardless of the number of incidents, theories of liability, or legal causes of action asserted. It applies to contract claims, tort claims, statutory claims, and any other legal theory under which liability might be asserted. The cap does not apply to: (a) claims arising from gross negligence or willful misconduct by Helix BioMedical personnel; (b) deaths or bodily injury arising from medical malpractice where liability caps are prohibited by Nevada law; or (c) breaches of HIPAA or other mandatory federal healthcare privacy obligations where statutory damages are prescribed by law.

Patients are strongly encouraged to carry personal health insurance, and students are encouraged to carry student accident insurance or renters insurance covering personal property. Helix BioMedical maintains appropriate organizational insurance coverage for its operations; however, the existence of organizational insurance does not constitute a waiver of any limitation of liability set forth herein.

10. Exclusion of Consequential Damages

To the fullest extent permitted by applicable law, Helix BioMedical shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to any Helix BioMedical service, program, platform, or interaction, regardless of whether the organization was advised of the possibility of such damages and regardless of the theory of liability asserted. This exclusion applies to but is not limited to: lost profits, lost revenue, loss of business opportunity, loss of data, loss of research progress, loss of anticipated educational outcomes, emotional distress, loss of consortium, reputational harm, and costs of substitute services.

In the context of healthcare services, this exclusion of consequential damages means that Helix BioMedical is not liable for downstream adverse health outcomes that may be claimed to result indirectly from a service interaction, diagnostic result, or care recommendation, except as required by applicable Nevada medical malpractice law. In the context of educational programs, this exclusion means that Helix BioMedical is not liable for career impacts, lost employment opportunities, academic disadvantages, or research setbacks that a student may attribute to program content, platform availability, or curriculum decisions.

Some jurisdictions do not allow the exclusion of certain categories of damages, particularly in consumer contracts. In those jurisdictions, the above exclusions apply only to the maximum extent permitted by law. Residents of states or territories that mandate minimum damage remedies in healthcare or consumer education contexts retain any rights afforded to them under applicable law that cannot be waived by contract.

11. Governing Law and Dispute Resolution

This Limitation of Liability statement and all disputes arising from or related to Helix BioMedical's services, programs, or operations shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Helix BioMedical is incorporated under Wyoming law, and the organization has designated Wyoming as its primary jurisdiction for legal and governance purposes.

Before initiating any formal legal proceeding, parties are required to engage in good-faith informal dispute resolution. A party asserting a claim against Helix BioMedical must provide written notice of the dispute to [email protected], describing the nature of the claim and the relief sought. Helix BioMedical will acknowledge such notice within ten (10) business days and will work in good faith to resolve the dispute within sixty (60) days of the notice date.

If informal resolution fails, disputes shall be submitted to binding arbitration administered by a mutually agreed arbitration service in accordance with its commercial arbitration rules. Arbitration shall take place in Wyoming unless the parties agree in writing to an alternative venue. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Nothing in this provision prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction pending the outcome of arbitration.

Class action arbitration and collective or representative proceedings are expressly waived. Each party agrees to bring claims only in its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If this class action waiver is found unenforceable in a particular matter, that matter may proceed in court, but this arbitration clause otherwise remains in effect.

12. Severability and Waiver

If any provision of this Limitation of Liability statement is found to be invalid, unenforceable, or contrary to applicable law by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from this document if modification is not feasible. The remaining provisions shall continue in full force and effect without modification. The invalidity of any individual provision does not affect the enforceability of the document as a whole.

Helix BioMedical's failure to enforce any right or provision under this Limitation of Liability statement in any particular instance shall not constitute a waiver of that right or provision with respect to future instances or with respect to any other provision. No waiver by Helix BioMedical of any breach of these terms shall be construed as a continuing waiver of that breach or as a waiver of any other breach. All waivers must be in writing and signed by an authorized representative of Helix BioMedical to be effective.
